THE CONCEPT OF “AFFILIATED PERSONS” IN COMMERCIAL LAW: THEORETICAL AND LEGAL ASPECT

The article studies the content of the concept of “affiliated persons” and the features that characterize this concept. The historical and legal aspect of the application of the concept of “affiliated persons” at the legislative level is revealed, the origin of the term and its application in international practice are considered, in particular the legislation of Germany, the USA, and France. The current legislation in the field of economic relations regarding the definition of the concept of “affiliated persons” was analysed. In the author’s opinion, such concepts as: “affiliated persons”, “related persons”, “associated persons”, “associated enterprises” should be unified, while developing a single approach. All these concepts combine the features of “control” and “dependence”. The concept of “affiliated persons” is inextricably linked to the concept of “affiliation”, which requires its own legislative definition. Analysing this issue, in the author’s opinion, it is necessary to make changes to the Commercial Code of Ukraine as a fundamental regulatory legal act in the field of legal regulation of economic relations, regarding the definition of the concept of “affiliated persons”, indicate the list of affiliated persons. And also include individuals among the affiliates, detailing the list of family members of an individual, unifying the approach to the circle of persons who are family members of an individual. Also, at the legislative level, determine that affiliation relationships can be property (based on participation in the authorized capital of a specific legal entity); organizational and managerial (related to the participation of certain persons in the management bodies of legal entities). The author believes that it is worth distinguishing the affiliation relationships that arise between spouses, parents, children, brothers and sisters, since such relationships, based on the reasons for their emergence, are endowed with special features by nature of origin they are not property or organizational and managerial but endowed with a personal interest in economic justice.
