Abstract

The article is devoted to the analysis of the provisions of the Commercial Code of Ukraine, their comparison with the provisions of the Civil Code of Ukraine and separate laws and other normative legal acts. Some systemic contradictions between the norms of the Commercial Code of Ukraine and the Civil Code of Ukraine regarding the regulation of the legal status of legal entities available in the corporate forms of enterprises, associations of legal entities, property bases of business, and economic obligations are highlighted. The impossibility of updating civil legislation systematically without recognizing the Commercial Code of Ukraine as null and void is substantiated. The article analyzes the content of the fundamental sections of the Commercial Code of Ukraine regarding their regulatory impact on business relations. Analysis of the legal norms of Chapter I “General provisions” (articles 1–54 of the Commercial Code of Ukraine) indicates the cancellation option without any adverse consequences of the articles included in this section. The analysis of the provisions of Chapter II of the Commercial Code of Ukraine, devoted to determining the legal status of business entities, made it possible to conclude that there are some systemic contradictions between the norms of the Commercial Code of Ukraine and the Civil Code of Ukraine. The feasibility of the approach rendered in draft law № 6013 regarding the repeal of the relevant provisions of the Commercial Code of Ukraine and the determination of a transition period for harmonizing the corporate and legal forms of available legal entities with the provisions of the Civil Code of Ukraine is substantiated. The analyzed content of Chapters III and V of the Commercial Code of Ukraine allowed ascertaining the lack of a need to preserve them given the presence of such a significant array of different-level legislative acts, as well as the lack of any peculiarities of the regulation of relations which would not be covered by the subject of regulation of the Civil Code of Ukraine and specific legislative acts. The expediency of the general adoption of the Law of Ukraine “On Peculiarities of Regulation of Entrepreneurial Activities of Certain Types of Legal Entities and Their Associations in the Transitional Period” is justified considering the obligations of our state regarding membership in the European Union.
